Avrupa Birliği sermaye şirketlerinin kuruluşu ve Türkiye'deki uygulamaları

Abstract

İki veya daha fazla gerçek ve tüzel kişinin ortak bir amaca ulaşmak için emek ve sermayelerini birleştirme yoluyla oluşturdukları varlığa şirket denir. Şirketler ticaret sicilde tescil kaydı ile varlık kazanırlar. Piyasalardaki gelişmelere paralel olarak gelişirler, büyürler, nev'i değiştirirler, sermaye arttırırlar ya da azaltırlar. Değişen ve gelişen ekonomik hayata uyum sağlamaya çalışırlar. Nitekim, zaman için de, AB ülkeleri de, uyum sağlama gayesi ile ülkelere göre değişiklik gösteren mevzuatlar ortaya çıkarmışlardır. Avrupa Birliği son genişleme dalgası ile Birliğe üye devletlerde uygulanmakta olan şirketler hukuku mevzuatlarındaki bu farklılıkları en aza indirmeye çalışmıştır. Bunun içinde yönergeler, tüzükler yayınlamıştır. Nitelik yönünden uluslararası bir görünüm gösteren ticaret hukuku diğer hukuk dallarının aksine ulusal gereksinimlerden daha çok uluslararası zorunluluk değişimlerinden doğmuş ve ekonomik koşulların etkisiyle gelişmiş ve karmaşık bir hal almıştır. Bu yüzden, sermaye şirketlerinin Avrupa Birliği ülkelerinde ve ülkemizdeki kuruluş işlemleri kullanıcılar açısından en basite indirgenmesi ticaretin gelişimi ve ilerlemesi gereklidir. Tez üç bölümden oluşmaktadır. Birinci bölümde Avrupa Birliği'nin bütünleşme süreci, Birlik Hukuku ve kaynaklarından bahsettikten sonra detaylara girmeden Avrupa Birliği'nin şirketler hukuku alanında yaptığı düzenlemelerin nasıl yapılandığı ve yayınlanan yönergelere yer verilecektir. İkinci bölümde Avrupa Birliği üye devletlerde sermaye şirketlerinin kuruluş mevzuatına değindikten sonra Avrupa Birliği'nin kabul ettiği ortaklık tüzükleri anlatılmaktadır. Üçüncü bölümde ise Ülkemizdeki sermaye şirketlerinin kuruluşları incelenmiş, Avrupa Birliğine uyum sürecinde Türk Ticaret Yasa tasarısında şirket kuruluşları ve uyumun hangi aşamada olduğu incelenmektedir Corporations are special establishments that are created by the union of two or more (legal) entities working for a common goal by combining their efforts and capitals. Corporations come to life when they are enlisted in the official commercial record. They grow, diverse, expand or reduce their capitals according to the fluctuations in the commercial markets. One of their goals is adapting to the changing and growing economical conditions. During such adaptation procedure, EU (European Union) countries have created various region-specific regulations. By the recent expansion desicion of EU, more efforts have been made to minimize the incompatibilities in regional legal systems. In efforts to achieve this goal, some instructions and rules have been created. Commercial law appears to be sophisticated, internationally influenced and born according to international needs and grows according to the economical conditions unlike the other law branches which are usually in more domestic appearance. Therefore, simplification of such sophisticated procedures that are required for establishing corporations in EU is important for the improvement of commerce. This study is composed of three chapters. The first chapter discusses about the integration process of EU, subsequently mentioning the community law and sources and finally discussing the regulations and instructions made on corporations law in brief. In the second chapter, after briefly mentioning the establishing regulations of the corporations in EU, the EU regulations commonly agreed are discussed. Finally, third chapter includes the establishment procedure of corporations in Turkey and discusses the stages that have been reached in the scope of compliance process with EU.
